Acceptance of these terms

These Terms of Service ("Terms") are an agreement between you and Viper Files LLC ("Viper Files," "we," "us," or "our"). By using our website or purchasing our business lead data and related services (the "Services"), you agree to these Terms. If you are using the Services for a company, you confirm you have authority to bind that company, and "you" refers to that company.

If you do not agree to these Terms, do not use the Services.

Our services

Viper Files LLC provides business lead data for the merchant cash advance and business funding industry, including live transfers, trigger leads, UCC leads, web form leads, and aged leads. Specific lead types, volumes, filters, pricing, and delivery methods for each order are set out in your quote, invoice, or order confirmation (an "Order").

Eligibility and business use

The Services are for business use only. You must be at least 18 years old and operating a legitimate business, such as a licensed broker, ISO, or funder, to purchase from us. We may refuse or cancel any Order at our discretion.

Orders, payment, and delivery

• Prices are as stated in your Order. Payment is due before delivery unless we agree otherwise in writing.
• Lead files are delivered by email, secure download, or CRM integration as described in your Order.
• Because lead data is a digital product that cannot be returned once delivered, all sales are final except as described in the replacement policy below.
• You are responsible for any taxes that apply to your purchase.

Replacement policy

If a record in your delivered file has a disconnected phone number or belongs to the wrong business, report it to us in writing within 7 days of delivery. After verifying the issue, we will replace that record with a comparable record at no cost. Replacement is your only remedy for defective records and is not available as a cash refund.

Replacements do not apply to records where the contact simply isn't interested, doesn't answer, doesn't qualify for funding, or has been contacted by other buyers of shared leads.

Your compliance responsibilities

This includes, where applicable, the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), the National Do Not Call Registry and state Do Not Call lists, the CAN-SPAM Act, state telemarketing and mini-TCPA laws, and state commercial financing disclosure laws. Specifically, you agree to:

• Scrub lead data against current federal, state, and internal Do Not Call lists before contacting anyone.
• Get any consent required before using autodialers, prerecorded or artificial voice messages, or text messages.
• Honor opt-out and removal requests promptly.
• Hold all licenses and registrations required to offer financing or brokerage services in each state where you operate.

Our scrubbing and verification help reduce risk but do not replace your own compliance obligations.

License to use lead data

When you pay for an Order, we grant you a limited, non-exclusive, non-transferable license to use the delivered lead data for your own internal business purpose of offering business funding products. Unless your Order says otherwise, you may not:

• Resell, share, rent, or give lead data to any third party.
• Use lead data for any purpose other than offering business funding products.
• Use lead data to harass, defraud, or deceive anyone.
• Combine lead data into a database or product you sell to others.

For exclusive leads, we will not sell the same records to another buyer for the exclusivity period stated in your Order.

Website use

You may use our website only for lawful purposes. You may not copy, scrape, or reproduce our website content, attempt to interfere with its operation, or submit false information through our forms. The website's design, text, logo, and the Viper Files name are owned by Viper Files LLC.

Disclaimers

Lead data is compiled from multiple sources and may contain errors or become outdated. Except for the replacement policy above, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not guarantee any number of contacts, applications, funded deals, or revenue from any Order.

Limitation of liability

To the fullest extent allowed by law, Viper Files LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any lost profits or revenue, arising from the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid for the Order that gave rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Viper Files LLC and its owners, employees, and agents from any claims, damages, fines, penalties, and costs (including reasonable attorneys' fees) arising from your use of lead data, your contact with any business or person, your violation of these Terms, or your violation of any law, including telemarketing and consumer protection laws.

Suspension and termination

We may suspend or end your access to the Services at any time if you violate these Terms or if we reasonably believe your use exposes us or others to legal risk. Sections that by their nature should continue, including compliance, license restrictions, disclaimers, limitation of liability, and indemnification, will survive termination.

Governing law and disputes

These Terms are governed by the laws of the State of [State], without regard to its conflict of law rules. Any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in [County], [State], and you consent to the jurisdiction of those courts.

Changes to these terms

We may update these Terms from time to time. When we do, we'll change the "Last updated" date at the top of this page. Changes apply to Orders placed after the updated Terms are posted.
